The following terms and conditions (hereinafter “Agreement”) apply to the registration for and use of the New Path Logistics platform, a logistics management, tracking, and automation solution, by a user on the website located at www.newpathlogistics.com and all associated platforms (hereinafter “Website”). As a condition of using the Website to manage logistics, shipping, and related services, you, as the user, must accept this Agreement prior to using the New Path Logistics software application.
General Terms
Parties
The parties to this Agreement are you, the user (“User,” “you”), and New Path Logistics, LLC, located at 1712 Pioneer Ave Suite 1502, Cheyenne, WY 82001 (“NPL,” “we,” “us”).
Scope
This Agreement governs your access to and use of the Website and related services.
Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming. You agree that any legal action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Laramie County, Wyoming, and you consent to the jurisdiction of such courts.
Statute of Limitations
Any cause of action arising from this Agreement must be brought within one (1) year after the cause of action arises, or it will be permanently barred.
Dispute Resolution
The parties agree to attempt to resolve disputes through alternative dispute resolution methods, such as mediation or arbitration, before pursuing court action. If no specific process is outlined, the guidelines of the Wyoming Office of Dispute Resolution shall apply.
Severability
If any provision of this Agreement is found to be unlawful or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect. A lawful provision similar in intent shall be substituted if possible. Failure by NPL to enforce any provision shall not constitute a waiver of that provision.
Changes to This Agreement
NPL may modify this Agreement at any time at its sole discretion. Changes become effective immediately upon posting on the Website. Continued use of the Website constitutes acceptance of the modified Agreement.
Terms of Use
These Terms of Use are to be read in conjunction with NPL’s Privacy Policy, which is incorporated by reference.
License
NPL grants the User a personal, non-exclusive, non-transferable, revocable, limited license to access and use the Website for lawful business purposes only.
The User may not:
Copy, modify, reproduce, or create derivative works from the Website or its content
Reverse engineer or attempt to extract source code, except as permitted by law
Rent, lease, resell, or exploit the Website outside its intended purpose
Interfere with or disrupt the Website or its security
All rights not expressly granted are reserved by NPL.
Account Registration
To use the services, Users must create an account and provide accurate, complete, and current information. Users are responsible for maintaining updated account details. In the event of an ownership dispute, NPL’s determination shall be final, and NPL may suspend or terminate the account.
Account Security
Users are responsible for maintaining the confidentiality of account credentials and for all activity conducted through their account, including activity by authorized users.
User Verification
NPL reserves the right to verify Users and may request identification or business documentation as part of verification.
Fees and Billing
Use of the platform may involve one-time and recurring subscription fees. Additional usage-based charges may apply depending on services used.
Texting and Phone Call Services
NPL provides communication tools within the platform, including calling and text messaging functionality. Users may purchase phone numbers for communication purposes. Usage-based charges may apply and will be billed through Stripe based on platform usage.
Users are solely responsible for ensuring that all communications sent using NPL services comply with applicable local, state, and federal laws and regulations, including consent and opt-in requirements. Users must only send messages to recipients who have provided appropriate permission to receive such communications.
Emailing Features
NPL provides emailing functionality within the platform. Usage-based charges may apply based on the volume of communications generated and will be billed through Stripe.
Age Restrictions
Users must be at least eighteen (18) years of age or the age of legal majority in their jurisdiction. Users under eighteen but at least thirteen may use the platform only with parental or guardian consent. Children under thirteen are not permitted to register.
Sub-domains
NPL may provide sub-domains for platform use. All sub-domains remain the property of NPL and may be modified or removed at NPL’s discretion. Sub-domains remain active only while the User maintains an active account.
Right to Modify Services
NPL reserves the right to modify, suspend, or discontinue any part of the Website or services at any time without liability or refund.
Fraudulent or Illegal Activity
Any use of the Website for illegal, fraudulent, or harmful activities may result in immediate termination of access and referral to law enforcement if applicable.
SMS and Mobile Messaging Compliance
NPL does not sell or use mobile information for marketing or promotional purposes.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information may be used internally or by subcontractors solely to support essential services such as customer support or message delivery.
All use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties, except for aggregators and providers of the Text Message services
